Terms of Service
The agreement between you and EaseAcademia that governs your access to and use of our platform.

These Terms of Service (the “Terms”) form a binding agreement between you and EaseAcademia. By creating an account or using the EaseAcademia Services you agree to these Terms. If you are entering into them on behalf of a school or organisation, you confirm you have authority to bind that organisation.
1. Agreement to terms
These Terms govern your access to and use of the EaseAcademia websites, applications and related services (the “Services”). Together with our Privacy Policy, Data Processing terms and any order form or plan you subscribe to, they constitute the entire agreement between you and EaseAcademia. If you do not agree, do not use the Services.
2. Accounts and eligibility
To use most features you must create an account and provide accurate, complete information. You are responsible for:
- maintaining the confidentiality of your credentials;
- all activity that occurs under your account;
- configuring roles and permissions appropriately for the users in your school; and
- notifying us promptly of any unauthorised use or security incident.
Accounts are for the school and users authorised by it. You must be legally capable of entering into this agreement to open an account.
3. Subscriptions, billing and taxes
The Services are offered on a subscription basis comprising a base package plus any optional modules you enable, as described on our Products & Pricing page.
- Fees — you agree to pay the base fee and the fees for any modules you activate, plus metered usage beyond your included allowances.
- Billing cycle — subscriptions renew automatically each billing period unless cancelled before renewal.
- Payments — card and bank payments are processed by our payment provider. You authorise us to charge your chosen payment method for all amounts due.
- Taxes — fees are exclusive of taxes; you are responsible for any applicable taxes other than those on our income.
- Non-payment — we may suspend or restrict access to the Services if fees are overdue.
4. Acceptable use
You agree not to, and not to allow any user to:
- use the Services in violation of any law or third-party rights;
- upload unlawful, harmful, infringing or malicious content, or content you are not authorised to process;
- attempt to gain unauthorised access to the Services, other accounts, or our systems, or probe or scan for vulnerabilities without authorisation;
- interfere with or disrupt the integrity or performance of the Services;
- reverse engineer, copy, resell or create derivative works of the Services except as permitted by law; or
- use the Services to send spam or to build a competing product.
We may investigate and take appropriate action, including suspending or terminating accounts that violate this section.
5. Your data and content
You retain all rights to the data and content you and your users submit to the Services (“Customer Data”). You grant EaseAcademia a limited licence to host, process and transmit Customer Data solely to provide and support the Services. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to process it. Our handling of personal data within Customer Data is governed by our Privacy Policy and Data Processing terms.
6. Intellectual property
The Services, including all software, design, text, graphics and trademarks (excluding Customer Data), are owned by EaseAcademia or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription. All rights not expressly granted are reserved.
7. Service availability and changes
We work to keep the Services available and reliable, but we do not guarantee uninterrupted access. We may modify, add or discontinue features from time to time. We may perform maintenance that temporarily limits availability and will try to minimise disruption. Material adverse changes to core functionality will be communicated where reasonably practicable.
8. Third-party services
The Services may integrate with third-party products (for example, payment providers). Your use of those products is governed by their terms, and EaseAcademia is not responsible for third-party services. See our Sub-processors list for the providers we rely on.
9. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be error-free or that defects will be corrected.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue or data. Our total aggregate liability arising out of or related to these Terms will not exceed the amounts you paid to EaseAcademia for the Services in the twelve months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless EaseAcademia and its affiliates from any claims, damages and expenses arising out of your Customer Data, your use of the Services in breach of these Terms, or your violation of any law or third-party right.
12. Term and termination
These Terms remain in effect while you use the Services. You may cancel your subscription at any time; access continues until the end of the current billing period. We may suspend or terminate access if you materially breach these Terms or fail to pay fees. On termination, your right to use the Services ends and we will handle Customer Data in accordance with our Data Processing terms.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, including the Nigeria Data Protection Act, 2023, without regard to conflict-of-law rules. The courts of the Federal Republic of Nigeria will have jurisdiction over any dispute, subject to any mandatory consumer protections available to you.
14. Changes to these terms
We may update these Terms from time to time. When changes are material we will update the “Last updated” date and notify you where appropriate. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
